Terms and Conditions for Social Siren

Introduction

Welcome to Social Siren! These terms and conditions ("T&C") constitute a legally binding agreement between you ("Client," "you," or "your") and Adora Digital Inc ("we," "us," or "our") for the use of our Social Siren service. By accessing and using our service, you agree to be bound by these terms. If you disagree with any part of these T&C, please refrain from using our service.

Description of Service

'Social Siren' is an all-in-one business management platform designed to enhance your online reputation and optimize business processes. Key features include:

Review Portal: Gather and manage customer reviews efficiently.

Contact Forms + Chat Widget: Engage with customers via customizable forms and chat.

Social Media Scheduler: Schedule posts across various social media platforms.

Universal Mailbox: Centralize business communications for streamlined management.

Customized CRM: Tailored customer relationship management for personalized interactions.

Private Slack Support Channel: Provide exclusive support channels for enhanced customer service.

Calendar and Appointment Booking: Manage appointments and schedules.

Email + Lead Automations: Automate email workflows for efficient follow-ups.

Lead Connector App: Connect with leads and manage them effectively.

Access to bi-weekly ‘office hour’ calls for support, guidance, and brainstorming.

This list is indicative, and Social Siren may introduce additional features to improve functionality over time.

Client Obligations

You must provide accurate and up-to-date information when using Social Siren. You shall comply with all applicable laws and regulations while using our service. You are responsible for maintaining the confidentiality of your account credentials and ensuring their security.

Payment Terms

4.1 Payment Processor:

We use Stripe and QuickBooks as our payment processors to handle all payment transactions securely.

4.2 Payment Options and Pricing:

Month to Month Plan: $287 per month.

6 Month Commitment (paid in full): $1500.

After the 6-month commitment period, clients can choose:

Month to Month Plan: $250 per month. 6 Month Commitment (paid in full): $1500.

4.3 Recurring Billing and User Consent:

By providing your payment information through QuickBooks invoicing or Stripe, you authorize them to send invoices and charge your preferred payment method based on the method you choose through the payment processor or by mailing a check (see 4.7). Your invoice will be sent monthly for the month-to-month plan or once for the 6-month commitment plan (paid in full).

4.4 You agree to pay all applicable fees promptly and on time, based on the payment terms selected.

4.5 Any additional charges, if applicable, will be clearly communicated to you before they are incurred.

4.6 Set-Up Fee:

A one-time set-up fee of $400 is typically applicable for Social Siren. This fee covers the installation and set-up of Social Siren on your platform. The installation process can take between 5-10 business days.

Refund and Cancellation Policy

Our refund and cancellation policy are as follows:

5.1 Month to Month:

With the Month to Month plan, you have the flexibility to cancel at any time without any penalties. You will have access to Social Siren in full until the end of the current billing period.

5.2 Payment Commitment Options:

6 Month Commitment (paid in full): If you choose the 6 Month Commitment (paid in full) plan, there will be no refunds or returns once the commitment period starts. However, you will continue to have access to Social Siren in full throughout the committed 6-month period. After the conclusion of your commitment term, you will have the option to continue with the month-to-month plan at the pricing you locked in during your commitment, or you may choose to renew the 6 Month Commitment (paid in full) plan.

5.3 Cancellation Process:

When you choose to cancel your subscription, please submit a cancellation request in writing to aleasha@adoradigital.ca. Our team will promptly uninstall Social Siren from your website within 5-10 business days upon receipt of your written cancellation request. Please be aware that you are responsible for returning your website to its previous state. This includes reconnecting contact methods, ensuring overall website functionality, and reestablishing any automated processes such as contact forms and notifications. Upon cancellation, you may need to seek an alternative solution or provider to restore the functionalities previously provided by Social Siren.

Missed or Failed Payment

6.1 Your prompt payment is crucial to maintaining uninterrupted access to Social Siren services and features. If you experience a payment issue, we are here to help resolve it efficiently.

6.2 Grace Period and Suspension:

In the event of a missed or failed payment, you have a 3-business day grace period to rectify the issue. If the payment remains unresolved after this grace period, access to Social Siren will be suspended on the 3rd business day until the payment is resolved.

6.3 Reactivation Fee:

After the 3-day grace period and if access has been suspended, a reactivation fee of $175 will be applied to reinstate your access to Social Siren.

6.4 Additional Grace Period:

If you resolve the payment issue within the 3-day grace period, access to Social Siren will be restored without any additional fees.

6.5 Termination of Services:

If payment is not rectified within 10 business days from the date of the missed or failed payment, we reserve the right to terminate your access to Social Siren, and your account will be closed. Outstanding amounts will remain due, and access will not be reinstated until all outstanding fees and the reactivation fee are paid in full.

Intellectual Property

All intellectual property rights related to Social Siren and its content are owned by Adora Digital Inc. You shall not use, modify, distribute, or reproduce any of our intellectual property without prior written consent.

License Rights

Adora Digital Inc grants you the non-exclusive, revocable, limited license to install and use the Software subject to the terms contained in this Terms and Conditions. The license that is granted to you may be used for both personal (non-commercial) and business (commercial) uses. You are hereby prohibited from any reproduction of the Software. You may install any number of copies of this Software.

Warranty

No warranty, express or implied (including any implied warranty of merchantability or fitness for a particular purpose), shall apply to the software; whether arising by law, course of dealing, course of performance, usage of trade, or otherwise. Adora Digital Inc makes no warranty regarding freedom from bugs or uninterrupted use.

Limitation of Liability

In no event shall Adora Digital Inc be liable to you for consequential, incidental, special, indirect, exemplary, punitive, or enhanced damages arising out of or relating to the software or any breach of this agreement (including, without limitation, lost profits, lost reimbursements, lost data, or lost savings, damages that result from the use of or inability to use the software, or that result from mistakes, omissions, interruptions, deletion of files, errors, delays in operation, or transmission or any failure of performance, whether or not limited to acts of God, communication failure, theft, destruction, or unauthorized access to customer’s records, programs, or services), irrespective if we were advised of the possibility of the occurrence of such damages, and regardless of the legal or equitable theory (contract, tort, or otherwise) upon which the claim is based.

Maximum Liability

The aggregate liability of Adora Digital Inc arising out of or related to this agreement or the software, whether arising out of or related to breach of contract, tort (including negligence), or otherwise, shall be limited to the amount of fees actually received by us from you for the software.

Enhancements and Support

In addition to optional bi-weekly office hour calls, we understand that clients may require additional support for expanding their digital ecosystem. Whether it's setting up new features, adding automation, or enhancing existing workflows, our team is here to assist you.

Options for Support:

Mini VIP Day: A half day of working time for $195. Ideal for focused tasks or projects requiring up to 4 hours of attention.

Full VIP Day: A full day of dedicated working time for $390. Perfect for larger projects or tasks that require extensive attention and execution.

One-off Tasks: For quick tasks that take between 30-60 minutes, receive assistance from our team at an hourly rate of $65.

Dispute Resolution

Any controversy or claim arising out of or relating to this T&C, including but not limited to the interpretation or breach thereof, shall be resolved in a court of competent jurisdiction in Ontario, Canada. You and Adora Digital Inc agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any class or representative action.

Changes

Adora Digital Inc reserves the right to update or modify these Terms and Conditions from time to time. Any changes will be communicated to clients in writing, and it is the client's responsibility to review and understand the updated terms. Continued use of the Social Siren service after receiving notice of changes indicates acceptance of the revised Terms and Conditions.

Entire Agreement

These Terms and Conditions constitute the entire agreement between you and Adora Digital Inc, superseding any prior agreements or understandings.

Commencement of Work

Installation will begin immediately upon receipt of the initial payment/set-up fee, and completion is expected within 5-10 business days. After installation, work will follow for 4/8/12 consecutive months without any gaps, depending on the chosen payment plan.

Software Updates

Adora Digital Inc may need, from time to time, to make additions and upgrades to the software. It shall be at the sole discretion of Adora Digital Inc to make releases of such updates to you, provided that you may need to agree to any changed T&C before the installation of the updates. Any updates and maintenance to the software shall be done free of charge to you

Acceptance of Terms: By using Social Siren, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. These Terms and Conditions constitute a binding agreement between you and Adora Digital Inc.

Any modifications or waivers of this agreement must be in writing and signed by both parties to prevent misunderstandings or disputes about verbal agreements. However, the initial acceptance of these Terms and Conditions shall remain valid for the duration of your subscription to Social Siren, regardless of whether you choose the month-to-month plan or the 6-month paid-in-full plan. Subsequent renewals or extensions of your subscription term shall not require additional signatures unless otherwise specified in writing by both parties.
